EMEDA Commissioner Meeting – Special Meeting -August 26th 2024

Members Present:
Chairman Tasha Losing, Vice Chair Steve Zachmann, Treasurer Karol Zachmann, Commissioner Hugo Bumgardner, Commissioner “Cookie” Zenko.

Members Absent: Commissioner Carson Beach,

Staff Present: Executive Director Vaughn Zenko

Meeting called to order:
7:01pm by Chairman Tasha Losing

Approval of Previous Meeting Minutes:  The minutes from the August 13, 2024 meeting were reviewed by the board.  Karol pointed out an edit she would like made under Claim Forms Review.
Vice Chairman Zachmann asked if the meeting had been recorded. Director Zenko stated it had not, but that recording EMEDA meetings was possible.  The remainder of the meeting was recorded.

• MOTION (Cookie Zenko): To approve the August 13 Special Meeting minutes with the noted edit.

• SECOND:  Hugo Bumgardner

• VOTE: Four in favor, none opposed, one absent. The August 13, 2024 Special Meeting minutes were approved with the edit.

Public Comment:  No public was present on the Zoom call, though the information to join was publicly posted.

Construction Supervisor Report:  Steve Zachmann reported on the progress of turning over Unit 1, that damage, and the schedule for setting on its foundation.  Chairman Losing requested a timeline for completion.  Steve stated that he was hopeful Unit 1 would be set on its foundation on August 27, paving could possibly begin on September 9.  The north sidewalk and some of the curb will be worked on tomorrow and the rest is scheduled to be completed by Wednesday.  Some further discussion, no actions taken.

Claim Forms Review:  Chairman Losing presented a claim from Sheridan Homes for $11,462 as stated in the original Sheridan contract for final payment once Unit 1 is set.  Vaughn asked Construction Supervisor Zachmann if paying the retainer at this point would affect EMEDA’s ability to negotiate with Sheridan Homes for any potential payment on their part for the damaged unit.  Steve said those negotiations will take place after Sheridan is paid in full.  No further discussion, as a motion was made to pay the claim.
• MOTION (Karol Zachmann): To approve EMEDA Claim 52 for $11,462 to Sheridan Homes to close out the contract on Unit 1.

• SECOND:  Cookie Zenko

• VOTE: Four in favor, none opposed, one absent. Claim 52 to Sheridan Homes was approved for $11,462 as stipulated in the contract regarding payment due on day of setting the unit.

Claim 51 to Baker Public Schools for $150 was held until the September 3 meeting by decision of Chairman Losing and Vice Chairman Zachmann.  There was no discussion.

Hiring Committee Report and Action as Needed:  On behalf of the hiring committee of herself and Hugo Bumgardner, Chairman Losing recommended that Carrie Schwartz be hired part time at $17 per hour for 20 hours per week until such time as her services were necessary full time. Discussion included the board requesting that Carrie present a detailed report of her hours to the board. There was also discussion of working from home.  SMART has made office space available for Carrie to use, though the board’s general consensus was that Carrie working from home at this point would not be a problem. 

• MOTION (Steve Zachmann): To accept the Committee’s recommendation and hire Carrie Schwartz part time at $17 an hour.

• SECOND:  Hugo Bumgardner

• DISCUSSION:  Director Zenko asked if the board would like to make Carrie’s start date retroactive to Monday, August 26. It was agreed that the board would.

• VOTE: Four in favor, none opposed, one absent. EMEDA will hire Carrie Schwartz part-time, at $17 per hour for 20 hours per week for an indefinite amount of time until her services are needed full time.

Having no other business to attend to at this time, Steve Zachmann motioned to adjourn.  Cookie Zenko seconded.  All in favor.  Meeting adjourned at 7:28pm.

The next EMEDA Monthly Meeting is scheduled for September 3, 2024.
